In these Terms, the following words have the meanings given below:

• "Solva", "we", "us", "our" refers to Solva, operating from 142/7 Sukhumvit Road, Khlong Toei, Bangkok 10110, Thailand.
• "You", "User", "Client" refers to any individual or organisation accessing our website or engaging our services.
• "Services" refers to the business strategy advisory engagements described on this website.
• "Content" refers to all text, documents, written materials and outputs produced in connection with an engagement.
• "Agreement" refers to these Terms together with any engagement letter or proposal accepted by you.

By using this website or engaging Solva's services, you confirm that you have read, understood and agree to these Terms. If you do not agree, please do not use this website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Where you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation.

Solva provides business strategy advisory services to founders and leadership teams. Our services include structured discovery sessions, quarterly planning partnerships, and ongoing advisory retainers. Full descriptions are available on our Solutions page.

Services are delivered primarily in Bangkok, Thailand, with remote delivery available where agreed. Solva reserves the right to modify or withdraw services with reasonable notice.

When using our website or engaging our services, you agree to:

• Provide accurate, complete information in communications and forms
• Attend or reschedule sessions with reasonable advance notice
• Use materials and outputs from our engagements for your own business purposes only
• Not share confidential session materials with third parties without our consent
• Not use our website in any way that is unlawful, harmful or disruptive

All content on this website, including text, design, structure and branding, is owned by or licensed to Solva and may not be reproduced without our written permission.

Written outputs produced specifically for your engagement (such as session summaries and planning documents) are provided to you for your business use. The underlying frameworks, methodologies and approaches remain the intellectual property of Solva.

You may not present Solva's proprietary approaches as your own or use them in commercial advisory, consulting or training activities without a written licence from us.

Fees for each engagement type are displayed on our website in Thai Baht (฿). An invoice will be issued prior to or at the commencement of each engagement. Payment is due within 7 business days of the invoice date unless otherwise agreed.

Cancellation and rescheduling: Sessions cancelled with less than 48 hours' notice may be charged at 50% of the session fee. Sessions cancelled within 24 hours or where you do not attend without notice may be charged at the full rate. We are happy to reschedule with reasonable advance notice at no cost.

Retainer arrangements are invoiced monthly in advance. Either party may end a retainer arrangement with 30 days' written notice.

Solva's advisory services are designed to support your thinking and planning process. Sessions are facilitative and advisory in nature. The decisions made following our engagements remain entirely yours.

Session scope is agreed at the outset of each engagement. Material changes to scope should be discussed and agreed before additional work proceeds. We aim to deliver written outputs within five business days of each session unless a different timeline is agreed.

All session content and business information shared by clients is treated as confidential. We are happy to sign a mutual non-disclosure agreement before engagement commences.

Our services are provided on the basis of general business advisory and strategy facilitation. We do not provide legal, financial, accounting, medical or regulated professional advice. Where such advice is needed, you should consult a suitably qualified and licensed professional.

This website and its content are provided in good faith and to the best of our knowledge. We make no warranties about the completeness, accuracy or suitability of the information for any particular purpose.

To the fullest extent permitted by applicable law, Solva's total liability arising from or in connection with an engagement shall not exceed the fees paid by you for that specific engagement in the three months preceding the claim.

We shall not be liable for indirect, consequential or special losses, including loss of profit, loss of business opportunity, or loss of data, arising from the use of our services or website.

Nothing in these Terms limits liability that cannot lawfully be excluded.

You agree to indemnify and hold Solva harmless from any claims, losses or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of our services, or any actions you take based on information or advice provided in our sessions.

Either party may end an engagement arrangement by giving written notice as specified in the engagement letter or, in the absence of a specific arrangement, 30 days' written notice.

We reserve the right to end an engagement immediately if you breach these Terms in a material way and do not remedy the breach within 10 business days of written notice.

Obligations of confidentiality, intellectual property, payment for services delivered, and limitation of liability survive termination.

These Terms are governed by and construed in accordance with the laws of Thailand. Any disputes arising from or in connection with these Terms or an engagement shall first be referred to good-faith informal resolution by the parties.

If a dispute is not resolved informally within 30 days, it shall be submitted to the jurisdiction of the courts of Bangkok, Thailand, unless both parties agree in writing to an alternative dispute resolution process such as mediation or arbitration.

• Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between you and Solva in respect of the subject matter.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations without our written consent. We may assign ours with reasonable notice.

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. For active engagements, material changes will be communicated directly. Continued use of our website or services following an update constitutes acceptance of the revised Terms.
